This guide intends to help current and prospective PBCs think about the board process, governance changes, and mission protection strategies that can help them live into the intention of the PBC statute to balance profit and purpose.

This guide also aims to provide a roadmap of best practices and options that go beyond the legal minimums and help ensure leaders understand how they can protect their company, achieve their purpose, and truly create a positive impact. Ideally, these recommendations would be instituted after first electing PBC status; however, they can also be adopted at any point in a company’s lifecycle.

This guidebook is designed for all PBCs, regardless of whether they are also Certified B Corporations.
